IMAP advised the international group BOS GmbH & Co. KG (BOS), a leading automotive supplier, on the participation of the ESSVP IV funds (ESSVP) advised by Orlando Management AG (Orlando). ESSVP acquires a significant minority stake from the family shareholders, who remain majority shareholders, thus strengthening the company’s financial power and balance sheet. As part of the partnership, BOS and ESSVP will jointly focus on international growth and further development of strategic product segments.
BOS is a global leading and innovative tier 1 automotive supplier with a comprehensive portfolio of kinematic and mechatronic system solutions for the interior and exterior of modern vehicles. The family-owned company, founded in 1910, focuses on the development and manufacturing of vehicle interior solutions such as luggage covers, cargo management- and sunshade systems, as well as safety nets. In recent years, the company has diversified its product segments into the fast-growing areas of panorama roofs, armrests, exterior kinematics and mechatronics (incl. adjustable body parts), as well as carrier systems. Today, BOS has over 7,000 employees at 21 locations worldwide and generates annual sales of over EUR 700m.
“We are glad to have found the ideal partner in ESSVP, who has an excellent understanding of our business model and market and with whom we can both continue to grow internationally and further expand our comprehensive product portfolio in a targeted manner”, comments Stefan Grein, CEO of BOS GmbH & Co. KG.
The ESSVP IV funds, advised by Orlando Management AG, are leading investors in industrial businesses headquartered in the DACH and Nordic region. The funds invest in market-leading companies with the potential to grow organically and through add-on acquisitions. Together with its predecessor funds, ESSVP has been in the market for 20 years and successfully developed numerous companies.
“We are very grateful that the shareholders trust us to accompany BOS, which has been built up over three generations by the shareholder families, into the next phase of its corporate development”, underlines Georg Madersbacher, Managing Director at Orlando.
“ESSVP and Orlando have an extensive track-record and an excellent network in the automotive sector. We are therefore convinced that in ESSVP we have found a strong partner for BOS who will provide sustainable support for the company’s development and therefore offers the ideal solution for all parties involved”, emphasizes Henning Graw, Managing Partner of IMAP.
The IMAP team consisting of Henning Graw (Managing Partner), Katja Schult (Director), Carsten Biel (Project manager/VP) and Sebastian Dinklage (Associate) exclusively advised BOS GmbH & Co. KG throughout a structured M&A process and supported in negotiating and successfully closing the transaction.
